and supply chain portal licensed by Osstem Implant India Private Limited.
Company registered under the Companies Act, 1956.

Use of the Website is offered
to you conditioned on acceptance without modification of all the terms,
conditions and notices contained in these Terms, as may be posted on the Website from time
to time. www.denall.in at its sole discretion reserves the right not to accept
a non-eligible User from registering on the Website without assigning any
reason.
II) Purpose:
Denall is
primarily focused on helping registered Medical dental Healthcare practitioners
to source their clinical supplies requirements, which are essential for the day-to-day operations of their clinics. The
Instruments, materials and services listed on Denall are highly technical in
nature and are to be used by registered medical practitioners of medical staff
only.
III) Services
Offered:
DenAll provides a number of Internet-based
services through the Website. One such service enables Buyer to purchase
clinical equipment materials & services offered by Osstem Implant
India Private Limited.
a) The Products can be purchased through the Website
through various payments methods such as online payment through Payment Wallet,
Debit card/ credit card/ card- based EMI/ Netbanking, Bank Transfer through
NEFT/Bank Deposit, package payment and Cash on Delivery.
b) The sale/purchase of Products shall be
additionally governed by specific policies like sale policy, Payment policy,
cancellation & refund policy, shipping policy etc. These terms and policies
may be further supplemented by Product specific conditions, which may be
displayed on the webpage of that product.
IV) Mandatory Criteria For Eligibility Of Buyer:
Use of the Website is available only to persons
who can form legally binding contracts under Indian Contract Act, 1872. The
User shall also comply with all the applicable laws (including without
limitation) Foreign Exchange Management Act, 1999 and the rules made and
notifications issued thereunder as may be issued by Reserve Bank of India from
time to time, Information Technology Act, 2000 as amended by the Information
Technology (Amendment) Act 2008, the rules, regulations, guidelines and
clarifications framed thereunder, including the (Indian) Information Technology
(Reasonable Security Practices and Procedures and Sensitive Personal
Information) Rules, 2011 (the “SPI Rules”), and the (Indian) Information
Technology (Intermediaries Guidelines) Rules, 2011 (the “IG Rules”) and the
Drugs and Cosmetics Act, 1940 and rules made thereunder. Persons who are
“incompetent to contract” within the meaning of the Indian Contract Act, 1872
including minors, un-discharged insolvents etc are not eligible to use the
Website. If you are a minor i.e. under the age of 18 years, you shall not
register as a User of the www.denall.inwebsite and shall not transact or use
the Website. www.denall.in reserves the right to terminate your membership and
/ or refuse to provide you with access to the Website if it is brought to the
notice of denall or discovered that you are under the age of 18 years or
insolvent.
For the purposes of these Terms, “Buyer” shall
mean registered medical practitioners, retailers, dental labs, medical staff
and medical institutions only.
V) Changes to the Website:
We reserve the right at our sole discretion, to
change, modify, add or remove portions of theseterms at any time without any
prior notice to you. It is your responsibility to review these terms regularly
for any updates or changes. Your continued use of the Website following the
posting of changes will mean that you accept and agree to the revisions.
VI) Registration process, User Account, Password,
Security & Confidentiality:
In consideration of your use of the Website,
buyer agrees on the following conditions:
a) Buyer needs to provide accurate, current and
complete information, documents about him/her for the registration process on
the Website (“Registration Details”).
b) Maintain and promptly update the Registration
Details, and any other information you provide to Company, to keep it accurate,
current and complete.
c) Buyer has to maintain the confidentiality of the
login & password details. As a Buyer, You will be fully responsible for all
activities that occur under your password or account.
d) As a buyer,You agree to (a) immediately notify
Denall of any unauthorized use of your password or account or any other breach
of security, and (b) ensure that you exit from your account at the
end of each session.
VII) Verification of documentary proof:
Denall verifies the credentials of every
registered customer’s after registration and Buyer before a new order gets
shipped. To verify your credentials you are required to supply us with
documentary proof that you are a retail or wholesale entity. In cases of
non-receipt of proper credentials & documentary proof clearly, DenAll
reserves the right to cancel the order and refund or any payments which may
have been made against the order.
VIII) Ordering Process:
Orders by Buyers are subject to acceptance by
DenAll as per the availability of the Product. If a Buyer places an order on
DenAll’s Website, this shall be considered as acceptance of terms listed on
website by the buyer.
IX) Shipping Process & Time Limit:
Order products will shipped by the authorized
service provider and time will be based on pin code wise or zone wise decided
by the shipping service provider. Delivery time and cost may be vary depends on
the situation on the market.
X) Buyer Warranty & Declaration:
The Buyer guarantees, declares and certifies
that the Products purchased on the Website by the Buyer shall be used by
registered medical, dental practitioners or qualified technicians only with the
compliance of Indian legal regulations.
XI) Invoicing Process:
Invoice will be generated once the order is
placed on the website. Invoices are payable on an open account immediately at
the time of placing order or at the time of delivery of items as per the
payment option chosen by the Buyer.[a5]
XII) Payment Policy & Promotion:
Once the order has been placed on the website
user has to pay the prices of the ordered products through following Payment
methods:
1. Online payment (bank transfer by NEFT, Net
banking, credit card, Debit card, card- based EMI)
2. Offline payment ( Bank deposit, cheques, Demand
Draft, Cash on delivery)
3. Package payment
a) Prices of the products are displayed on the
website inclusive of Taxes subject to change as per sole discretion of the
Denall or manufacturers. All payments made against the purchases/services on
Website by you shall be compulsorily in Indian Rupees acceptable in the
Republic of India as per Indian law. We will not facilitate any transactions
with respect to any other form of currency with respect to the purchases made
on the website.
b) While availing any of the payment method/s
available on the Website, Denall will not be responsible any liability,
whatsoever in respect of any loss or damage arising directly or indirectly to
you due to lack of authorization for any payment transactions, or exceeding the
preset limit mutually agreed by you and between "Banks", or any
payment issues arising out of the transaction, or decline of transaction for
any other reasons.
c) Denall may suspend shipment of Products to Buyers
whose previous dues are unpaid, at no liability to Denall.
d) Before shipping / delivering your order to you,
Denall may request you to provide supporting documents to establish the
ownership of the payment instrument used by you for your purchase. This is done
in the interest of providing a safe online shopping environment to our Users.
e) There may be special contests, referral
programs, loyalty programs and promotional activities (“Offers”) conducted by
Denall. Any such Offer may result in the User receiving discounts, coupons,
vouchers, special offers etc. Denall reserves the right to accept or reject any
User’s participation in such Offers at its sole discretion.
Such special offers, coupons, discounts or
vouchers (“Rewards”) can only be applied at the time of order or as may be
provided and may not be applied to any previous orders. Prices and Products are
subject to change without notice. The Rewards and schemes may be withdrawn
and/or changed without notice. Items under Offers and other schemes are
available only till stocks lasts.
While availing any of the payment method/s
available on the Website, Denall will not be responsible or assume any
liability, whatsoever in respect of any loss or damage arising directly or
indirectly to you due to lack of authorization for any transaction/s, or

"Bank/s", or any payment issues arising out of the transaction, or

XIII) Exactness Not Guaranteed:
Denall disclaims any guarantees of exactness of
the final Product as ordered by the Buyer. All images of Products are purely
for illustration only. Denall does not accept responsibility for any difference
between the image on the Website and the actual appearance of the Product.
XIV) Cancellation, Return & Replacement Policy:
a) Returns and replacements are accepted within 7
days from the Invoice date of items.
b) Items to be returned or replaced must be in resalable conditions and contain the original packing material. (Company will not be liable to arrange the pickup facility for exchange/ returns of products.)
c) Returned items are subject to inspection. Refund
will be granted only after inspection subject to confirmation of Denall.
d) Credit will not be granted for items unsuitable
for resale. In case of return of any item the amount will be adjusted in the
next order. Any Product that is damaged in transit and is rejected by you
without accepting delivery from the courier is eligible for a 100% refund of
the sale price of the Product.
e) Due to health, hygienic and safety reasons, Products which relate to personal hygiene and self-care are non-returnable. Products that come in contact with the body cannot be returned - they are single use patient items. No hygiene Product can be returned if the package has been opened.
f) Denall may charge a cancellation or return fee as specified in the cancellation and returns FAQs, to facilitate the return shipping process.
XV) Return Reject Policy:
Goods return will be reject as per inspection of
the products by the company technical team. Return can be reject if original
packing is open or products damage or damaging / hampering the sterilization
quality of the products. Return can be also reject if the good are not return
under the return policy/term and time.
XVI) Intellectual Property Rights:
All content included on the Website, such as
designs, text, graphics, pictures, video, information, applications, software,
music, sound and other files, and their selection and arrangement (the “Site
Content”), are the property of Denall with all rights reserved. You acknowledge
and agree that you shall not use, reproduce or distribute any Site Content from
the Website belonging to Denall.
XVII) Termination:
Denall may suspend or terminate your use of the
website or any Service immediately, if you have breached, violated, abused, or
unethically manipulated or exploited any term &policies . Buyer shall be
liable to pay for any Service or Product that you have already ordered till the
time of Termination.
XVIII) Disclaimer:
At present, Medical Device Rules 2017 do not
prohibit the sale of any item listed on this Website. However, if the Medical
Device Rules 2017 are subsequently revised to include any item currently sold
on our Website, then such items shall not be available to the Users and any
money paid for the prohibited item shall be refunded to the respective User.
XIX) Report Abuse:
As per these Terms, Users are solely responsible
for every material or content uploaded on to the Website. Users can be held
legally liable for their contents and may be held legally accountable if their
contents or material include, for example, defamatory comments or material
protected by copyright, trademark, etc. If you come across any abuse or

XX) Governing
Laws:
Terms shall be governed by and construed in
accordance with the laws of India and disputes arising in relation hereto shall
be subject to the exclusive jurisdiction of the courts at Mumbai.
Any dispute or claim relating to the services
rendered by the Website, its enforce ability or termination under these Terms
and/ or other policies available on the Website shall be governed by the Arbitration
and Conciliation Act, 1966 by a sole arbitrator, who shall be appointed by
DenAll. The place of Arbitration shall be Mumbai and the language of
proceedings shall be English.
We are developing the mobile apps to effectively use our online site. This mobile app will android based and ios based and will be user friendly. Mobile apps will be be used to make easy to operate the online site for our customer and it will also helpful to avoiding the time consumption of the user and used as operating tools for placing the online business order. All the term and condition will be applicable for the mobile apps user also.
